1. About These Terms

These Terms of Use ("Terms") govern your access to and use of the Zooper platform, including all software, services, features, and content made available at zooper.com.au and any related subdomains (collectively, the "Platform"), operated by Zooper Financial Pty Ltd (ACN / ABN pending registration) ("Zooper", "we", "us", or "our").

By accessing or using the Platform you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use the Platform.

2. Description of Services

Zooper is an AI-assisted financial document preparation platform designed for Australian small businesses, sole traders, trusts, and their accountants. The Platform enables users to:

• Generate End of Financial Year (EOFY) financial statements;
• Prepare Individual Tax Return (ITR) draft documents;
• Prepare Business Activity Statement (BAS) draft documents;
• Connect to accounting software including Xero for data import;
• Store and manage financial documents and client records;
• Receive AI-generated tax strategy recommendations.

Important: Zooper is a document preparation and workflow tool only. Zooper is not a registered tax agent, financial adviser, or legal adviser. Documents generated by Zooper must be reviewed, verified, and lodged by a registered tax professional. Nothing on the Platform constitutes tax, legal, or financial advice.

3. Eligibility

You must be at least 18 years of age and have the legal capacity to enter into a binding agreement to use the Platform. By using the Platform you represent and warrant that you meet these requirements. If you are using the Platform on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.

4. Account Registration and Security

Access to the Platform requires authentication via Manus OAuth. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at [email protected] if you suspect any unauthorised use of your account.

5. Acceptable Use

You agree not to:

• Use the Platform for any unlawful purpose or in violation of any applicable law;
• Submit false, misleading, or fraudulent financial data;
• Attempt to gain unauthorised access to any part of the Platform or its infrastructure;
• Reverse engineer, decompile, or disassemble any part of the Platform;
• Resell, sublicense, or commercially exploit the Platform without our prior written consent;
• Interfere with or disrupt the integrity or performance of the Platform;
• Use the Platform to process data belonging to third parties without their consent.

6. AI-Generated Content Disclaimer

The Platform uses artificial intelligence to generate financial documents and tax strategy recommendations. AI-generated content is provided for informational and drafting purposes only. It may contain errors, omissions, or inaccuracies. You acknowledge that:

• All AI-generated documents must be reviewed by a qualified tax professional before lodgement;
• Zooper does not guarantee the accuracy, completeness, or ATO compliance of any generated document;
• You are solely responsible for the accuracy of data you input into the Platform;
• Zooper is not liable for any penalties, interest, or loss arising from reliance on AI-generated content.

7. Intellectual Property

All intellectual property rights in the Platform, including software, design, trademarks, and content, are owned by or licensed to Zooper. You are granted a limited, non-exclusive, non-transferable licence to use the Platform solely for your own internal business purposes in accordance with these Terms.

Documents generated using your own data remain your property. You grant Zooper a limited licence to process and store your data solely to provide the services described in these Terms.

8. Fees and Subscriptions

Certain features of the Platform require a paid subscription. Subscription fees, billing cycles, and cancellation terms are described on the Pricing page. All fees are in Australian dollars (AUD) and are inclusive of GST where applicable. Zooper reserves the right to change pricing with 30 days' notice.

9. Third-Party Integrations

The Platform integrates with third-party services including Xero. Your use of those services is subject to their respective terms and privacy policies. Zooper is not responsible for the availability, accuracy, or conduct of any third-party service.

10. Limitation of Liability

To the maximum extent permitted by law, Zooper's total liability to you for any claim arising out of or in connection with the Platform is limited to the fees paid by you to Zooper in the three months preceding the claim. Zooper is not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profit, loss of data, or business interruption.

Nothing in these Terms excludes, restricts, or modifies any right or remedy, or any guarantee, warranty, or other term or condition implied or imposed by the Australian Consumer Law that cannot lawfully be excluded or limited.

11. Termination

You may close your account at any time by contacting us. We may suspend or terminate your access to the Platform at any time for breach of these Terms, non-payment, or for any other reason with reasonable notice. Upon termination, your right to use the Platform ceases immediately. We will retain your data for 90 days after termination before deletion, unless required to retain it longer by law.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on the Platform. Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of New South Wales, Australia. Any dispute arising under these Terms will be subject to the exclusive jurisdiction of the courts of New South Wales.
